Terms of Service

1. Service Description

Propovio (“the Service”) is a software-as-a-service (SaaS) platform that enables contractors and home service professionals to generate, send, and manage proposals, collect electronic signatures, and convert signed proposals into invoices. The Service is provided by Propovio (“we,” “us,” or “our”).

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to update these terms at any time by posting the revised version on our website. Your continued use of the Service after changes constitutes acceptance.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Provide accurate information in proposals and invoices you create.
  • Not use the Service to send unsolicited or fraudulent communications.
  • Not attempt to reverse-engineer, decompile, or disassemble the Service.
  • Not interfere with or disrupt the Service or its infrastructure.
  • Comply with all applicable local, state, national, and international laws.

5. Subscription Plans & Payments

Propovio offers free and paid subscription plans. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

  • Starter ($6/mo): 3 proposals per month with all core features.
  • Pro ($29/mo): Up to 50 proposals per month, custom branding, priority support.
  • Business ($79/mo): Everything in Pro plus team features and up to 5 members.

All payments are processed securely through Stripe. Prices are in USD. No partial refunds are provided for unused portions of a billing cycle. You may cancel your subscription at any time from your account settings; access continues until the end of the current billing period.

6. Electronic Signatures

Propovio provides electronic signature functionality. Electronic signatures collected through the Service are legally binding in both the United States and Canada:

  • In Canada: Valid under provincial Electronic Commerce Acts across all provinces and territories. In Quebec, recognized under the Loi concernant le cadre juridique des technologies de l'information (LCCJTI). Also compliant with PIPEDA.
  • In the US: Legally binding under the ESIGN Act (Electronic Signatures in Global and National Commerce Act) and UETA (Uniform Electronic Transactions Act) in all 50 states.

You are solely responsible for determining whether electronic signatures are appropriate and legally sufficient for your specific use case and jurisdiction.

7. Data Storage & Security

Your data is stored securely on cloud infrastructure. We use industry-standard security measures including encryption in transit and at rest. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining backups of your critical business data.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Propovio and protected by intellectual property laws. You retain ownership of all content you create using the Service (proposals, invoices, client data). We do not claim any intellectual property rights over your content.

9. AI-Generated Content

The Service uses artificial intelligence to generate proposal content, including scope of work, line items, and pricing suggestions. AI-generated content is provided as a starting point only. You are solely responsible for reviewing, editing, and approving all content before sending it to clients. We make no guarantees regarding the accuracy, completeness, or appropriateness of AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPOVIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may export your data prior to termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Colorado.
